Atlanta Area Basketball Officials Association Constitution

Article I - Name

This Corporation shall be known as the Atlanta Area Basketball Officials Association (AABOA) organized under the jurisdiction of the Georgia High School Association (GHSA).


Article II - Purpose

The purpose of this Corporation shall be the promotion of the game of basketball by:

Section A: The development and maintenance of a membership consisting of experienced and capable basketball officials whose integrity is above reproach and who are actively engaged each year in officiating games.

Section B. Fostering a high standard of ethics. Encouraging fair play, sportsmanship and closer cooperation and better understanding among officials, athletic directors, coaches, players, press and spectators.


Article III - Officers and Elections

Section A. The Board of Directors of the Corporation shall be composed of:

Article I. President, Vice-President, Secretary, Treasurer, and Booking Secretary.

Section B. The Officers of the Corporation shall be composed of:

Article I. The five (5) elected Board of Directors and any other officer named by the Board of Directors.

Section C. The Board of Directors shall be elected by secret ballot at the Annual Meeting by a majority of a quorum of voting members present and shall hold office for a period of one (1) year, or until a successor is elected or appointed.

Section D. The President shall appoint to office, with the advice and consent of the Board of Directors, a qualified member to fill a vacancy among the officers until such time as a successor is duly elected at the Annual Meeting.

Section E. The Corporation membership will be notified at least 30 days prior to the Annual Meeting when the election of officers will be held. Any Active AABOA official that has been a member of AABOA for five (5) years who desires to run for office must submit in writing his name and the office he desires to run for to the Secretary at least one (1) week prior to the election date. Other nominations for any office may be made from the floor at the Annual Meeting.

Section F. Any person failing to attend at least two-thirds (2/3rds) of the Regular Meetings during the year shall be ineligible to hold office for the coming year.

Article IV - General

Section A. The qualifications and responsibilities for membership and officers and such regulations as may be necessary and proper for the conduct of the business and affairs of the Corporation, shall be provided for in the Bylaws.


Article V - Amendments to the Constitution

Section A. This constitution may be amended at any scheduled meeting by an affirmed vote of two-thirds (2/3rds) of a quorum, provided each member is sent a written notice of amendment thirty (30) days before the meeting at which time said amendment is to be voted on.

Section B. A quorum of the Corporation is fifty (50) percent of all Active AABOA members entitled to vote.

Section C. This Corporation shall have the authority to establish and amend its policies, Constitution and Bylaws, provided that such amendments do not conflict with Laws, Articles of Incorporation, Constitution, Bylaws, or GHSA policies. The Constitution and Bylaws of the GHSA will always be followed.
